Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by Vascoh LLC under the brand Proptena ("Proptena", "we", "us", "our"). By engaging our services, signing a scope or order form, or using this website, you ("Client", "you") agree to these Terms.

1. What we provide

Proptena provides custom AI build and integration services for property managers and real estate operators in the United States. Services may include lease abstraction, AI leasing assistance, maintenance triage, tenant screening orchestration, and rent collection automation, built to run against the property management system you already licence. The specific services, deliverables, fees, and timeline for your engagement are set out in the written scope or order form agreed between you and us (the "Scope"). If the Scope conflicts with these Terms, the Scope controls.

2. Independence from software vendors

We are an independent studio. We are not affiliated with, endorsed by, sponsored by, or a certified partner of Yardi Systems, AppFolio, Buildium, RealPage, Entrata, DoorLoop, MRI Software, or any other property management software vendor. Your right to connect third-party software to your system is governed by your own licence and contract with that vendor. You are responsible for confirming that an integration we build is permitted under that agreement, and we will tell you when we believe it may not be.

3. Fees and payment

• Scoping and setup fees are one-time charges, due as stated in your Scope.
• Build fees are milestone-based or fixed, as stated in your Scope.
• Ongoing support or run fees, where applicable, are recurring for as long as we operate a workflow for you.

Fees are billed in U.S. dollars. Late or failed payments may result in suspension of services. Except as expressly stated in these Terms or your Scope, fees are non-refundable.

4. Client responsibilities

• Provide accurate business information and timely access to the systems, credentials, documents, and data needed to deliver the services.
• Hold the licences and permissions required for us to access and integrate with your systems.
• Comply with all applicable laws governing your business, including fair housing, tenant screening, advertising, communications, and consumer protection law.
• Be responsible for required disclosures and consents where we operate communications on your behalf. We provide tooling and guidance to support compliance, but compliance remains yours.

5. Ownership and data

You own your documents, lease data, customer data, and the records generated through the services. We may use anonymised, aggregated performance data to improve our services. We retain ownership of our underlying software, templates, and tools, and grant you a licence to use the delivered work for your business.

6. Term and termination

Your engagement runs for the term in your Scope; ongoing services continue until cancelled. Either party may terminate for material breach uncured 14 days after written notice. On termination you remain responsible for fees accrued through the effective date. Sections on payment, ownership, disclaimers, limitation of liability, and governing law survive termination.

7. Disclaimers

Except for any express guarantee in your Scope, the services are provided "as is" without warranties of any kind, express or implied. AI systems produce probabilistic output and require human review for consequential decisions; we design for that and you agree to operate it that way. Nothing on this website or delivered in an engagement is legal advice, including anything we say about fair housing or tenant screening law. Business results depend on factors outside our control. We do not warrant uninterrupted or error-free operation of any third-party platform.

8. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability arising out of or relating to the services will not exceed the fees you paid us in the three (3) months preceding the event giving rise to the claim.

Trademarks

Yardi, AppFolio, Buildium, RealPage, Entrata, DoorLoop, MRI Software and all other product and company names referenced on this site are the trademarks of their respective owners. Proptena and Vascoh LLC are not affiliated with, endorsed by, sponsored by, or certified partners of any of these companies. We reference their names solely to describe, accurately and descriptively, the third-party systems our software connects to. Any integration we build depends on the interfaces and access your own licence and contract with that vendor permits.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new date. Continued use after changes take effect constitutes acceptance.
